These Terms of Use govern your use of the Cyvian website, applications, software, platforms and digital services provided by Cyvian Ltd.

Please read these Terms carefully. By accessing or using a Cyvian website, application or service, you agree to these Terms. Where a particular Cyvian product or service has additional or product-specific terms, those terms will also apply.

1. About Cyvian

Cyvian Ltd (“Cyvian”, “we”, “us” or “our”) is a UK technology company providing software applications, digital platforms, cybersecurity, artificial intelligence and related technology services.

Our products and services include Cyvian-branded and Cyvian-developed applications and platforms, including SaleTrackerPro, TradeCore, and other products and services that we may introduce from time to time.

These Terms apply to cyvian.co.uk and, unless separate terms state otherwise, to Cyvian applications, platforms and digital services.

2. Using Our Services

You may use our websites, applications and services only for lawful purposes and in accordance with these Terms.

You must not:

  • use a Cyvian service for unlawful, fraudulent, abusive or malicious purposes;
  • attempt to gain unauthorised access to our systems, applications, accounts or infrastructure;
  • interfere with the security, integrity, availability or operation of a Cyvian service;
  • introduce malware, malicious code or other harmful material;
  • attempt to circumvent security, authentication, access controls or usage restrictions;
  • reverse engineer, decompile, disassemble or otherwise attempt to derive source code except where applicable law expressly permits this;
  • scrape, harvest or systematically extract information from our services without our permission;
  • use our intellectual property except as permitted by these Terms or with our written consent; or
  • use our services in a way that infringes the rights of another person or organisation.

We may suspend or restrict access where we reasonably believe these Terms have been breached or where this is necessary to protect our users, systems or services.

3. Accounts and Security

Some Cyvian products require you to create an account.

You are responsible for providing accurate information, maintaining the confidentiality of your account credentials and taking reasonable steps to protect your account.

You must notify us promptly if you become aware of unauthorised access to your account or believe that your credentials have been compromised.

Where authentication or security features such as multi-factor authentication are provided, we strongly recommend that you use them.

You are responsible for activity carried out through your account unless the activity results from something for which Cyvian is legally responsible.

4. Cyvian Products

Cyvian develops and operates a number of independent software products and digital services.

Functionality, availability, supported platforms, pricing and service features may differ between products.

Certain products may therefore have additional terms covering matters such as subscriptions, payments, licensing, acceptable use, data processing or product-specific functionality.

Where product-specific terms conflict with these general Terms, the product-specific terms will apply to that product to the extent of the conflict.

5. Subscriptions and Payments

Some Cyvian products may be offered as paid services, subscriptions, one-off purchases or through different service plans.

Where charges apply, the relevant price, billing period, renewal arrangements and material payment conditions will be presented before you purchase or subscribe.

Where a subscription automatically renews, we will provide information about the renewal and cancellation arrangements applicable to that subscription.

You are responsible for ensuring that payment information you provide is valid and that you are authorised to use the relevant payment method.

Nothing in these Terms affects any cancellation, refund or other rights that you may have under applicable consumer law.

6. Mobile Applications

Some Cyvian products may be distributed through third-party application stores, including the Apple App Store or Google Play.

Your use of those stores is also subject to the relevant store provider's terms.

The application store provider is not responsible for Cyvian's products or services except to the extent expressly stated in its own terms.

Updates may occasionally be required to maintain functionality, compatibility or security.

7. Intellectual Property

Unless otherwise stated, Cyvian or its licensors own the intellectual property rights in our websites, applications, software, designs, branding, documentation and other materials.

Subject to these Terms and any applicable product-specific terms, we grant you a limited, non-exclusive, non-transferable and revocable right to access and use the relevant Cyvian service for its intended purpose.

This does not transfer ownership of any Cyvian intellectual property to you.

Cyvian, its associated branding, product names and logos are owned by or licensed to Cyvian Ltd. Third-party names and trademarks remain the property of their respective owners.

8. Your Content and Data

Some Cyvian products may allow you to enter, upload, create or store information or content.

You retain ownership of your content.

You grant Cyvian the rights reasonably necessary to host, process, transmit, display or otherwise handle that content for the purpose of providing the service to you.

You must have the necessary rights and permissions to provide any information or content that you submit to our services.

Our handling of personal information is described in our Privacy Statement and, where applicable, any product-specific privacy information.

9. Artificial Intelligence Features

Some current or future Cyvian products may include artificial intelligence, machine learning or automated functionality.

Outputs generated by these technologies may not always be complete, accurate or suitable for a particular purpose. Where appropriate, users should independently verify important information before relying upon it.

AI-generated outputs should not be treated as professional legal, financial, medical, security or other specialist advice unless a Cyvian service expressly states otherwise.

10. Availability and Changes

We aim to provide reliable and secure services but cannot guarantee that every service will always be available or uninterrupted.

We may modify, update or improve our products and services from time to time, including to address security, regulatory, technical or operational requirements.

We may also discontinue functionality or a service. Where this materially affects a paid service, we will provide appropriate notice where reasonably practicable and where required by law.

11. Third-Party Services

Cyvian services may integrate with or contain links to third-party websites, platforms, APIs or services.

Third-party services are operated independently from Cyvian and may be subject to their own terms and privacy policies.

We are not responsible for third-party services that are outside our control.

12. Security

Security is an important part of how Cyvian designs and operates its services.

However, no internet-connected service can be guaranteed to be completely secure.

You must not conduct vulnerability scanning, penetration testing or other security testing against Cyvian systems or services without prior written authorisation from Cyvian.

If you believe you have identified a security vulnerability affecting a Cyvian product or service, please report it responsibly to us rather than attempting to exploit it.

13. Disclaimers

We take reasonable care in developing and operating our services.

Unless expressly stated otherwise, information provided through our website is provided for general information purposes and should not be regarded as professional advice.

To the extent permitted by law, we do not guarantee that our services will be error-free, uninterrupted or suitable for every particular purpose.

Nothing in these Terms excludes any warranty, right or remedy that cannot lawfully be excluded.

14. Limitation of Liability

Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

If you are a consumer, nothing in these Terms affects your statutory rights.

To the extent permitted by law, Cyvian will not be responsible for losses that were not reasonably foreseeable when you began using the relevant service or that result from circumstances outside our reasonable control.

Additional liability provisions may apply to commercial customers under their individual agreement with Cyvian.

15. Suspension and Termination

You may stop using our services at any time, subject to any applicable subscription or product-specific terms.

We may suspend or terminate access where reasonably necessary because of:

  • a serious or repeated breach of these Terms;
  • fraudulent, abusive or unlawful activity;
  • a security threat to Cyvian, our users or third parties;
  • non-payment of applicable charges; or
  • a legal or regulatory requirement.

Where appropriate and reasonably practicable, we will provide notice before terminating a service.

16. Changes to These Terms

We may update these Terms periodically to reflect changes to our services, technology, business operations or legal and regulatory requirements.

The latest version will be published on our website with the date on which it was last updated.

Where a change materially affects an existing paid service or your rights, we will provide additional notice where required by law.

17. Governing Law

These Terms are governed by the laws of England and Wales.

If you are a consumer, you may also have rights under the mandatory laws applicable where you live, and nothing in these Terms removes those rights.

If you are acting in the course of a business, the courts of England and Wales will have exclusive jurisdiction in relation to disputes arising from these Terms unless otherwise agreed in writing.
